By registering with the Flex Engine Directory listing platform you agree to the following Terms & Conditions:
Terms of use:
1) The number of profiles is limited to one per individual agent. Your agency can set up a single profile for each / all of their active sales agents if wished. Any amendments to profiles following initial listing will need to be requested in writing to info@flexengine.co.uk.
2) Leads requesting connection with an individual agent will be introduced in emailed format to two email points: the first being the individual agent’s email address and the second being a central email inbox (as designated by the parent agency) in the event the individual agent is not available at the point of introduction.
3) Where there is no central email inbox (due to sole trader status etc.) then the lead will be sent to the individual email address only.
4) Leads introduced via Flex Engine will be checked against your internal CRM systems to determine whether a live, active requirement already exists for that client / company. If this is the case, a notification will need to be sent to info@flexengine.co.uk within 2 business days of the introduction being made to confirm the lead is already active.
5) If no such communication is received within 2 business days of lead introduction, the lead will be deemed as accepted and fees will be due on successful conversion to deal, as below.
6) All and any confirmations of pre-existing duplicated leads will need to be supported by screenshots to show the lead in question within your CRM, as well as the date of registration, relevant duplicated contact name / company name and reasonable proof that the lead is active (as opposed to dormant) at the point of introduction.
7) Flex Engine will notify each lead prior to their submission of a contact request with you that they are being introduced to a third party whose business model relies on the introduction of the lead’s details to operators of office space in exchange for prospective fees and that the lead should review your data privacy terms prior to giving permission for such introductions being made.
8) By listing with Flex Engine, you confirm that you will not introduce a new lead’s requirements to office operators without first having been in touch with the lead to qualify their needs and to make them aware of introductions being made to office operators (and / or any other third parties dependent on your business model).
9) Any leads received through Flex Engine which sign contracts with office operators resulting in fees being paid to you will be subject to a fee equal to 50% of the fee to you, inclusive of any enhanced fee and fees beyond the first year.
10) Payments of fees to Flex Engine will mirror the payment terms between you and the office operator paying. Flex Engine will issue invoices in line with the relevant payment schedules (contract value in advance, quarterly or monthly) commencing from the point of deals being confirmed as won.
11) All invoices will be subject to 7-day payment terms from the date you are paid by the office operator for the deal in question.
12) Flex Engine reserves the right to charge interest on unpaid invoices at 2% above Bank of England Base Rate per month for any invoices falling overdue beyond the agreed payment terms.
13) Flex Engine leads will be considered live for a period of 6 months from the date of introduction and any leads converting into business within this time period will be subject to payment of fees as above.
14) Flex Engine reserves the right to maintain contact with leads introduced for the purposes of gathering feedback on the quality of their experience with the agent / agency chosen as well as general ongoing communications thereafter and the act of introduction does not confer exclusivity over or ownership of a lead to you.
15) Should you choose to stop listing with Flex Engine they will be required to give 7 days’ notice in writing to info@flexengine.co.uk and all individual agent profiles associated with your agency will be removed within that time frame.
16) Regardless of 14, any leads introduced to you prior to the removal of individual agent details leading up to, and inclusive of, the 7-day notice period will be subject to fees as above in the event they convert into deals after the expiry of the notice given.
17) In the event an office operator needs to claw back partial or full fees from you in the event of a client default where that client was a lead introduced by Flex Engine Directory and fees were paid by you to Flex Engine, Flex Engine will refund the correct proportional fee to you via a credit note and subject to 7-day payment terms from the date you have paid back the operator in question.
Intellectual property
You agree that all materials, products, and services provided on this website are the property of Flex Engine, its affiliates, directors, officers, employees, agents, suppliers, or licensors including all copyrights, trade secrets, trademarks, patents, and other intellectual property. You also agree that you will not reproduce or redistribute Flex Engine’s intellectual property in any way, including electronic, digital, or new trademark registrations.
You grant Flex Engine a royalty-free and non-exclusive license to display, use, copy, transmit, and broadcast the content you upload and publish. For issues regarding intellectual property claims, you should contact the company in order to come to an agreement.
User accounts
As a user of Flex Engine Directory, you will be asked to register with us and provide information. You are responsible for ensuring the accuracy of this information at all times, and you are responsible for maintaining the safety and security of your identifying information.
If you think there are any possible issues regarding the security of your information on the website, inform us immediately so we may address them accordingly.
We reserve all rights to terminate accounts, edit or remove content at our sole discretion.
Applicable law
By using Flex Engine Directory services, you agree that the laws of the United Kingdom, without regard to principles of conflict laws, will govern these terms and conditions, or any dispute of any sort that might come between Flex Engine and you, or its business partners and associates.
Disputes
Any dispute related in any way to your use of Flex Engine Directory or to products you purchase from us shall be arbitrated by United Kingdom courts and you consent to exclusive jurisdiction and venue of such courts.
Indemnification
You agree to indemnify Flex Engine and its affiliates and hold Flex Engine harmless against legal claims and demands that may arise from your use or misuse of our services. We reserve the right to select our own legal counsel.
Limitation on liability
Flex Engine is not liable for any damages that may occur to you as a result of your misuse of our services.
Flex Engine reserves the right to edit, modify, and change this agreement at any time. We shall let our users know of these changes through electronic mail. This Agreement is an understanding between Flex Engine and the user, and this supersedes and replaces all prior agreements regarding the use of this website.
Restrictions
I hereby confirm that I accept the above Terms & Conditions:
